Welcome. These Terms of Service ("Terms") govern your use of the Prism Project Partners website and our client portal. We have tried to write them the way we write everything else: plainly. If anything here is unclear, ask us — hello@prismprojectpartners.com.
Prism Project Partners LLC ("Prism," "we," "us") is a project-management, relocation, and facilities-management firm based in Dallas–Fort Worth, Texas. We provide commercial build-out project management, corporate relocation services (including moving, packing, and installation work), facilities management, and office decommissioning services.
By using our website (the "Site") or our client portal (the "Portal"), you agree to these Terms. If you do not agree, please do not use the Site or Portal. If you are using the Portal on behalf of a company, you confirm that you have authority to bind that company, and "you" includes that company.
The Site is our public website. It describes our services, our approach, and our published fee ranges, and it lets you contact us.
The Portal is a private workspace we provide to active clients. It gives you a live view of your project — status, requests, approvals, documents, and messages with your Prism partner. Portal access is offered as part of an engaged project, not as a standalone product.
Content on the Site — including service descriptions, fee ranges, guides, and FAQs — is general information. It is not project-management, construction, real estate, legal, or financial advice, and reading it does not make you our client.
We provide professional services only under a signed services agreement. If these Terms and a signed agreement between you and Prism ever conflict, the signed agreement controls for the services it covers.
Published fee ranges on the Site are indicative. Your actual fee is the one in your signed agreement.
Portal access works through a project access code we issue to you. When you sign in, we give your browser a time-limited credential (currently valid for about 14 days) so you don't have to re-enter the code constantly.

Use the Site and Portal for their intended purposes. You agree not to:
We may suspend or block access that violates this section, with or without notice.
You (or we, on your behalf) may add project information to the Portal — requests, approvals, messages, and documents. You keep ownership of your content. You give us permission to store, display, and process it as needed to run the Portal and deliver your project. You are responsible for having the rights to anything you upload.
The Site and Portal — including text, design, graphics, logos, and software — belong to Prism Project Partners LLC or our licensors. The Prism name and mark are ours. You may view, download, and print Site content for your own evaluation of our services. You may not republish, sell, or commercially exploit our content without our written permission.
Nothing in these Terms transfers any intellectual property to you, and nothing limits rights granted to you in a signed services agreement (for example, rights to your project deliverables).
Some images on the Site are served from third-party hosts (such as Unsplash), and the Site or Portal may link to third-party websites or documents. We don't control third-party sites and aren't responsible for their content, availability, or practices. A link is not an endorsement. Your use of a third-party site is governed by that site's own terms.
We work to keep the Site and Portal available and accurate, but we don't promise uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Site or Portal at any time. For active clients, we will use reasonable efforts to give notice before changes that materially affect Portal access during a project.
The Site and Portal are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties about the Site and Portal — express or implied — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Site content is complete, current, or error-free.
To be clear: this section is about the website and portal as software. It does not disclaim any commitment we make to you in a signed services agreement.
To the fullest extent permitted by law, Prism Project Partners LLC and its members, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from your use of, or inability to use, the Site or Portal.
To the same extent, our total liability arising from the Site or Portal will not exceed one hundred U.S. dollars ($100).
This cap applies to the Site and Portal only. Liability connected to our professional services is governed by the applicable signed services agreement, not by this section. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to indemnify and hold harmless Prism Project Partners LLC and its members, employees, and agents from claims, damages, and reasonable expenses (including attorneys' fees) arising from: (a) your violation of these Terms, (b) your misuse of the Site or Portal, or (c) content you submit to the Portal that infringes or violates someone else's rights. We will notify you promptly of any such claim and reasonably cooperate with you in its defense.
Portal access follows the life of your project. We may suspend or end Portal access:
You may stop using the Site or Portal at any time. Sections of these Terms that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive termination.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute arising from these Terms, the Site, or the Portal will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction and venue there. Disputes under a signed services agreement follow the dispute terms in that agreement.
We may update these Terms from time to time. When we do, we will change the effective date at the top of this page, and for material changes affecting active Portal users, we will make reasonable efforts to notify you (for example, by a Portal notice or email). Continued use of the Site or Portal after a change means you accept the updated Terms. If you don't accept them, stop using the Site and Portal and contact us about your project records.
If any part of these Terms is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. These Terms, together with our Privacy Policy and any signed services agreement, are the entire agreement between you and Prism about the Site and Portal. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale, or reorganization of our business.
